Creating an Account
- Service Eligibility: To be eligible to use the Services, you must meet the following criteria and represent and warrant that you: (1) are 14-years old or older; (2) are not currently restricted from our Services, or not otherwise prohibited from having a REDFworkshop.org account, (3) are not a competitor of REDF or are not using the Services for reasons that are in competition with REDF; (4) will only maintain one REDFworkshop.org account at any given time; (5) will use your real name and only provide accurate information to REDFworkshop.org; (6) have full power and authority to enter into this Agreement and doing so will not violate any other agreement to which you are a party; (7) will not violate any rights of org or third party, including intellectual property rights such as copyright or trademark rights; and (8) agree to provide at your cost all equipment, software, mobile access, and internet access necessary to use our Services.
- Member Account, Password, and Security: To register for the Service, You must complete the registration process by providing REDFworkshop.org with current, complete and accurate information as prompted by the registration form, including Your e-mail address (username) and password. You will protect Your passwords and take full responsibility for Your own, and third party, use of Your accounts. You are solely responsible for any and all activities that occur under Your Account. You will notify REDFworkshop.org immediately upon learning of any unauthorized use of Your Account or any other breach of security. org support staff may, from time to time, log in to the Service under Your member password in order to maintain or improve service, including to provide You assistance with technical issues.
- Your License to Use the Services: REDFworkshop.org gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by REDFworkshop.org as part of our Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of our Services as provided by REDFworkshop.org, in the manner permitted by these Terms.

Please also protect sensitive personal information such as your email address, phone number, street address, or other information that is confidential in nature;
- Create a Member profile for anyone other than a natural person;
- Harass, abuse or harm another person, including sending unwelcomed communications to others using REDFworkshop.org;
- Use or attempt to use another’s account or create a false identity on REDFworkshop.org.
Limitation of liability, disclaimer of warranty, and indemnification
- Warranties and Disclaimers: We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services.

- Indemnification: To the extent permitted by applicable law, You will indemnify, hold harmless and defend REDF at Your expense, from any and all third-party claims, actions, proceedings, and suits brought against REDF or any of its officers, directors, employees, agents or affiliates, and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including, reasonable attorneys’ fees and other litigation expenses) incurred by REDF or any of its officers, directors, employees, agents or affiliates, arising out of or relating to (i) Your breach of any term or condition of this Agreement, (ii) Your use of the Service, (iii) Your violations of applicable laws, rules or regulations in connection with the Service, (iv) any representations and warranties made by You concerning any aspect of the Service, the Software or Reports to any Third Party; (v) any claims made by or on behalf of any Third Party pertaining directly or indirectly to Your use of the Service, the Software or Reports; (vi) violations of Your obligations of privacy to any Third Party; and (vii) any claims with respect to acts or omissions of any Third Party in connection with the Service, the Software or Reports. REDFWorkshop.org will provide You with written notice of any claim, suit or action from which You must indemnify REDF. You will cooperate as fully as reasonably required in the defense of any claim. REDF reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by You.
Choice of law and forum selection
- Choice of Law and Forum Selection: These Terms and any action related thereto will be governed by the laws of the State of California without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in the federal or state courts located in San Francisco County, California, United States, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.
If you are a federal, state, or local government entity in the United States using the Services in your official capacity and legally unable to accept the controlling law, jurisdiction or venue clauses above, then those clauses do not apply to you. For such U.S. federal government entities, these Terms and any action related thereto will be governed by the laws of the United States of America (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of California (excluding choice of law).
Modifying or termination of an account
- Modifying and Terminating our Services: We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.
You can stop using our Services at any time, although we’ll be sorry to see you go. REDFworkshop.org may also stop providing Services to you, or add or create new limits to our Services at any time.
We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.
Notification process for modified service or terms
- Tenure of Agreement: The term of this Agreement will commence on the Effective Date and will remain in effect until terminated by you or us in accordance with Modifying or termination of account clause.
- About these Terms: We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
These terms control the relationship between REDF and you. They do not create any third party beneficiary rights.

If it turns out that a particular term is not enforceable, this will not affect any other terms.

These Terms are governed by the laws of the State of California applicable to contracts made and performed within the State without regard to its conflicts of law principles. Nothing in these Terms creates an agency, partnership, joint venture, employer-employee, attorney-client, or similar relationship between REDF and any user of this Site. These Terms constitute the entire agreement and supersede all other agreements between you and REDF regarding your use of the Site.
