About This Resource
This chart provides a quick break down of what management/the exec team at an ESE should be responsible for and what the board is responsible for. The chart makes it easy to delineate tasks and create/enforce roles.
For traditional governance boards, the board is tasked with making high-level strategic decisions for the organization itself in its effort to help a nonprofit achieve its mission long-term. The CEO, on the other hand, is responsible for managing the operational side of the organization.
The checklist below lists tools you can use to clarify roles, responsibilities and processes related to governance.
The CEO and board need to be in agreement about these documents. Once in place, they serve as points for reference or for mediating misunderstandings or disagreements.
